Terms of Service

Tempo provides done-for-you B2B lead generation: we compile, enrich, score, and deliver lists of business contacts in a target market you define, and we provide a client portal to view, export, and track that pipeline. Specifics - volume, cadence, enrichment depth, and integrations - depend on the plan you select, as described on our pricing page.

You must be at least 18 and authorized to enter this agreement on behalf of your business. You are responsible for your account credentials and for all activity under your account, including team members you invite. Keep your contact and billing details accurate.

We may build a complimentary sample list on a target you describe. The sample is provided as-is, with no warranty and no obligation on either side to proceed. It is intended for you to evaluate quality, and is subject to the same acceptable-use terms below.

You agree that you and your team will not:

• Use leads or data we deliver to send unlawful, deceptive, or harassing communications.
• Send commercial email or messages in violation of CAN-SPAM, CASL, the TCPA, GDPR/PECR, or other applicable communications or privacy laws.
• Contact records on an applicable do-not-call or do-not-contact list, or anyone who has opted out, without a lawful basis.
• Resell, sublicense, or redistribute the raw data we deliver as a standalone product or list.
• Use the data to build a competing data product, or to enrich a consumer-profiling database.
• Attempt to scrape, reverse-engineer, or overload the portal or our systems.

You are solely responsible for your own outreach and for complying with the laws that apply to your messages and your industry. We can suspend or terminate service for violations.

Subject to these terms and your payment, we grant you a non-exclusive, non-transferable license to use the business-contact data we deliver for your own lawful sales and marketing to those businesses. The license does not include the right to resell the data, share it publicly, or transfer it to a third party except your own service providers acting on your behalf under equivalent obligations.

We retain all rights in our scoring models, enrichment methods, software, and platform. You retain ownership of your own customer and account data.

Tempo does not sell consumer personal data, and you may not use our service to do so. The data we provide concerns businesses in their commercial capacity. Where a record includes an individual's business-contact details, you must handle it in line with applicable privacy law and our Privacy Policy, including honoring opt-out and data-subject requests.

We maintain a suppression list and exclude opted-out records from future builds. If you receive an opt-out or removal request from a contact, you must honor it and forward it to hello@tempoleads.com so we can suppress the record across the service.

• Paid plans are billed monthly in advance, in U.S. dollars, exclusive of applicable taxes.
• Plans are month-to-month with no annual commitment unless agreed otherwise in writing.
• You can upgrade, downgrade, pause, or cancel; changes take effect at the next billing cycle.
• Cancel before your renewal date to avoid the next charge. Fees already paid are non-refundable except where required by law.
• Lead volumes are monthly allotments tied to a delivery cadence and do not roll over.

We work hard on data quality, but no data source is perfect. The service and all data are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or that any lead will respond, qualify, or convert. We do not guarantee sales outcomes.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, and our total liability for any claim arising out of the service is limited to the fees you paid us in the three months before the event giving rise to the claim.

You will defend and indemnify Seibs Management Co LLC against claims, damages, and costs arising from your use of the data or service, your outreach and messaging, or your breach of these terms or of applicable law, including anti-spam and privacy laws.

Either party may terminate for material breach not cured within a reasonable period, or for convenience at the end of a billing cycle. Acceptable-use, no-resale, payment, disclaimer, liability, and indemnity terms survive termination.

We may update these terms; material changes take effect on the new effective date shown above, and continued use after that date is acceptance. These terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules, and the state and federal courts located in Florida have exclusive jurisdiction.
